Terms and Conditions

These Terms and Conditions ("Terms") govern your access to and use of maera.com and our Services (company formation assistance, EIN/ITIN support, AI-powered search optimization/Generative Engine Optimization (GEO/AEO), audits, consultations, content strategies — "Services"). By accessing, using, or signing up for Services, you agree to these Terms. If representing an entity, you warrant binding authority.

1. Eligibility You must be 18+ and legally capable of contracts.

2. Services Description and Disclaimers Services provided on best-efforts basis. For AI/GEO: We optimize visibility of your verified content in third-party AI engines using client-provided/approved data only. Key Disclaimers:

• No guarantees on AI rankings, citations, dominance, or full mitigation of misinformation/bots/deepfakes (third-party algorithms unpredictable).
• We process only your verified sources — you are solely responsible for accuracy, legality, non-infringement, and compliance (including UAE Cybercrimes Law No. 34/2021, GDPR/PDPL).
• Services "as is" — no warranties of merchantability, fitness, or non-infringement.

3. Your Responsibilities

‍

• Provide accurate, lawful content/data.
• Ensure no violation of laws (false info, IP infringement prohibited).
• Comply with export/sanctions rules.
• When applicable, act as data controller; see Data Processing Addendum for processor scenarios.

4. Intellectual Property We own site/tools/methods (except your content). You grant limited license for Service delivery. No ownership claim over your outputs.

5. Payments & Fees Non-refundable/non-cancellable unless stated. Authorize charges; late fees apply.

‍

6. Limitation of Liability To maximum extent permitted: No indirect/consequential/special/punitive damages (lost profits, data loss). Aggregate liability capped at fees paid in prior 12 months. No liability for third-party AI changes or external factors.

7. Indemnification You indemnify us against claims from your content, breach, or misuse.

‍

8. Termination/Suspension We may suspend/terminate for breach, non-payment, legal risk.

‍

9. Data Processing When we process personal data on your behalf (e.g., in GEO audits/optimizations), our Data Processing Addendum (available at maera.com/legal/data-processing-addendum) applies and is incorporated herein by reference. It supplements these Terms for GDPR/PDPL/CCPA-covered processing.

10. Governing Law & Jurisdiction Governed by New York State laws (no conflicts). Exclusive jurisdiction: New York courts. We comply with GDPR/PDPL where applicable; supervisory authorities handle relevant complaints.

11. Miscellaneous Entire agreement; severable; force majeure. Updates: Continued use = acceptance.
